This Bill of Sale is made as of ____________ by ____________, of ____________ (“Seller”), in favor of ____________, of ____________ (“Buyer”).
For the total sum of $____, receipt of which Seller acknowledges, Seller hereby sells, assigns, and transfers to Buyer all of Seller's right, title, and interest in the following property (the “Property”): ____ ____________ ____________, Vehicle Identification Number (VIN) ____________.
Seller certifies that the odometer of the vehicle reads ____ miles and, to the best of Seller's knowledge, reflects the actual mileage of the vehicle unless otherwise noted here. Federal law (49 U.S.C. § 32705) requires mileage disclosure upon transfer of ownership; providing a false statement may result in fines and/or imprisonment.
Seller warrants that Seller is the lawful owner of the Property, that the Property is free of all liens, security interests, and encumbrances, that Seller has full right and authority to sell it, and that Seller will defend title against the lawful claims of all persons.
The Property is sold “AS-IS, WHERE-IS, WITH ALL FAULTS.” Except for the warranty of title above, Seller makes no warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. Buyer has had the opportunity to inspect the Property and accepts it in its present condition.
Possession of the Property transfers to Buyer upon signing of this Bill of Sale, and risk of loss passes to Buyer at that time. Each party shall complete any registration, title-transfer, or tax filings required by law in connection with this sale.
Many states require the certificate of title to be signed over (and in some states notarized) and the sale reported to the DMV within a set number of days. Both parties should check the requirements of the state where the vehicle is registered.
This Agreement shall be governed by and construed in accordance with the laws of the State of ____________, without regard to its conflict-of-laws principles.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
