This Photo and Video Release (this “Release”) is entered into by ____________ (the “Subject”), in favor of ____________ and its successors, licensees, and assigns (the “Producer”), in connection with the following production: ____________ (the “Production”).
The Subject irrevocably grants the Producer the perpetual, worldwide, royalty-free right to photograph and record the Subject's image, likeness, voice, and performance in connection with the Production, and to use, reproduce, edit, adapt, publish, distribute, and display the resulting materials (the “Materials”), in whole or in part, in any media now known or later developed, for the following purposes: advertising and other commercial purposes; editorial and journalistic purposes; social media; portfolio display and self-promotion. The Producer owns all right, title, and interest in the Materials, including copyright.
The Subject grants this Release voluntarily and without expectation of compensation, acknowledging that the opportunity to participate in the Production is adequate consideration. No payment, royalty, or residual is owed for any use of the Materials.
The Subject waives any right to inspect or approve the Materials, any drafts or edits, or any accompanying text or captions, and understands the Materials may be edited, cropped, combined with other content, or used in composite form.
To the fullest extent permitted by law, the Subject releases the Producer from any claims arising out of the use of the Materials as permitted by this Release, including claims for invasion of privacy, violation of the right of publicity, defamation, or copyright infringement, except for uses that are defamatory per se or otherwise unlawful.
This Agreement shall be governed by and construed in accordance with the laws of the State of ____________, without regard to its conflict-of-laws principles.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date, intending to be legally bound.
